These Terms of Use (“Terms”) govern your access to and use of the Zephyr platform, including any websites, applications, software, tools, and services made available by Zephyr Labs, LLC (“Zephyr,” “we,” “us,” or “our”). By creating an account, accessing, or using the Zephyr platform, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Zephyr platform.

1. About Zephyr

Zephyr Labs, LLC is a Texas limited liability company and a registered real estate brokerage licensed by the Texas Real Estate Commission (TREC). Zephyr’s designated broker is Philip Walter.

Zephyr provides a software-as-a-service (SaaS) platform designed to assist real estate investors, agents, and related professionals with data aggregation, underwriting, analysis, workflow tools, and document preparation.

Important: Zephyr is a technology platform. Use of the Zephyr platform does not create a broker-client, agent-client, fiduciary, or agency relationship between you and Zephyr Labs, LLC.

2. No Agency Relationship

By creating a Zephyr account or using the platform, you expressly acknowledge and agree that:

  • You are not entering into an agency, brokerage, fiduciary, or representation relationship with Zephyr Labs, LLC or its designated broker.
  • Zephyr does not represent you as a buyer, seller, landlord, tenant, or principal in any real estate transaction.
  • Any real estate decisions you make based on information provided through the platform are made independently and at your own discretion.

If you require brokerage representation, agency services, or legal advice, you must engage a licensed real estate broker or attorney separately.

3. Eligibility and Account Responsibilities

You must be at least 18 years old and legally capable of entering into binding contracts to use the Zephyr platform.

You agree to:

  • Provide accurate, current, and complete account information
  • Maintain the confidentiality of your login credentials
  • Be responsible for all activity that occurs under your account

Zephyr reserves the right to suspend or terminate accounts that violate these Terms or applicable laws.

4. Platform Use and Restrictions

You may use the Zephyr platform solely for your internal, lawful business or personal real estate analysis purposes, subject to these Terms and applicable data license restrictions.

You agree not to:

  • Copy, scrape, download, distribute, resell, sublicense, or commercially exploit platform data except as expressly permitted
  • Reverse engineer, decompile, or attempt to extract source code
  • Circumvent usage limits, access controls, or data protections
  • Use the platform in violation of any MLS, data provider, or third-party licensing agreement


5. MLS and Third-Party Data; License Compliance

Certain data available through the Zephyr platform is sourced from Multiple Listing Services (MLSs) and other third-party data providers.

By using Zephyr, you acknowledge and agree that:

  • All MLS and third-party data is provided under license and subject to strict usage restrictions
  • You will comply with all applicable MLS rules, regulations, and data licensing agreements associated with the markets you access
  • MLS data is provided exclusively for personal, non-commercial use to identify prospective properties you may be interested in purchasing or evaluating
  • MLS data may not be copied, redistributed, displayed publicly, or used for mass marketing, lead generation, or resale

Information is deemed reliable but not guaranteed. All listings are subject to prior sale, change, or withdrawal.

Violation of MLS or data licensing rules may result in immediate suspension or termination of your account without notice.

6. No Professional Advice

Information provided through Zephyr is for informational and analytical purposes only.

Zephyr does not provide:

  • Legal advice
  • Tax advice
  • Investment advice
  • Brokerage or agency advice

You should consult qualified professionals before making legal, tax, financial, or real estate decisions.

7. Accuracy of Information

While Zephyr strives to provide accurate and up-to-date information, all data and analytics are provided “as is” and “as available.”

Zephyr makes no representations or warranties regarding:

  • Accuracy
  • Completeness
  • Timeliness
  • Suitability for any particular purpose

Use of the platform is at your own risk.

8. Subscription Plans, Fees, and Payments

Certain features of the Zephyr platform may require payment of subscription fees.

Unless otherwise stated:

  • Fees are billed in advance
  • Subscription fees are non-refundable
  • Zephyr may modify pricing or plans with reasonable advance notice

Failure to pay applicable fees may result in suspension or termination of access.

9. Intellectual Property

All software, content, trademarks, logos, and materials on the Zephyr platform are owned by or licensed to Zephyr Labs, LLC.

Except for the limited right to use the platform as expressly permitted, no rights are granted to you.

10. Termination

Zephyr may suspend or terminate your access at any time if you:

  • Violate these Terms
  • Violate MLS or data licensing agreements
  • Engage in misuse, abuse, or unlawful activity

Upon termination, your right to use the platform will immediately cease.

11. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZEPHYR LABS, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.

13. Indemnification

You agree to indemnify and hold harmless Zephyr Labs, LLC and its members, officers, employees, and agents from any claims, damages, or liabilities arising out of:

  • Your use of the platform
  • Your violation of these Terms
  • Your violation of MLS or data licensing agreements

14. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

Any disputes shall be brought exclusively in state or federal courts located in Travis County, Texas.

15. Changes to These Terms

Zephyr may update these Terms from time to time. Continued use of the platform after changes become effective constitutes acceptance of the revised Terms.
